En application du Code des sociétés et des associations (CSA) adopté en 2019, les sociétés privées à responsabilité limitée (SPRL) sont transformées en sociétés à responsabilité limitée (SRL), à propos desquelles la notion de capital a été supprimée. Afin de protéger les créanciers, le législateur a décidé d’imposer aux SRL un double test de liquidité et de solvabilité qui devront être effectués préalablement à toute distribution de dividendes.

Le test de solvabilité (article 5:142 du CSA) établit qu’aucune distribution ne peut être effectuée si l’actif net de la société est négatif ou le deviendrait à la suite d’une telle distribution.

Le test de liquidité (article 5:143 du CSA) implique qu’on ne peut procéder à la distribution que si celle-ci n’empêche pas la société de payer ses dettes exigibles, à savoir les dettes qui deviendront exigibles dans les 12 mois et auxquelles on peut raisonnablement s’attendre.

En cas de distribution en violation de ces dispositions, la société est en droit de demander le remboursement des distributions. De plus, si les membres de l’organe d’administration ont procédé à une distribution en violation du test de liquidité, le CSA prévoit que ces membres seront solidairement tenus responsables du dommage causé à la société et aux tiers.

Nous tenons également à rappeler que l’arrivée des beaux jours rime le plus souvent avec le dépôt des comptes annuels. En effet, les comptes annuels doivent être soumis à l’approbation de l’assemblée générale dans les six mois de la clôture de l’exercice comptable. Les sociétés disposent ensuite de trente jours pour déposer leurs comptes annuels auprès de la Centrale des bilans de la Banque nationale de Belgique. Les membres de l’organe d’administration engagent leur responsabilité en cas de dépôt tardif des comptes annuels et la loi prévoit une présomption de responsabilité en cas de dommage subi par des tiers à la suite de ce dépôt tardif. Le dépôt tardif pourra également faire l’objet d’une amende dont le montant variera en fonction du délai.
