Le 5 mai 2022, la Chambre des représentants a adopté le texte d’un projet de loi portant des dispositions diverses en matière d’intermédiation dans le secteur financier et des assurances.

En matière d’intermédiation en (ré)assurance, ce projet de loi a notamment pour objectif de renforcer la responsabilité des agents et courtiers d’assurances ou de réassurance qui collaborent avec des sous-agents (Chapitre 2 du projet de loi).

Si les modifications proposées de la loi du 4 avril 2014 relative aux assurances (ci-après la

« Loi Assurances ») paraissent limitées, leur portée s’avère en revanche, eu égard également à la teneur de l’exposé des motifs, importante pour de nombreux intermédiaires.

Par l’insertion d’un 13° à l’article 266 de la Loi Assurance (article 5 du projet de loi), le législateur entend renforcer la responsabilité des intermédiaires de (ré)assurance du fait des sous-agents avec lesquels ils collaborent en imposant une obligation de contrôler les activités des sous-agents dans le chef de l’intermédiaire d’assurances sous la responsabilité duquel ils agissent.

L’exposé des motifs indique que la FSMA pourra prendre des mesures à l’encontre de l’intermédiaire (principal) en cas d’infractions répétées à la Loi Assurance par un sous-agents. Pour rappel, toute infraction à la Loi Assurance peut donner lieu à une sanction de la FSMA pouvant aller jusqu’à la radiation de l’inscription de l’intermédiaire (article 311).

Les sous-agents seront à l’avenir tenus d’indiquer en tout temps en quelle qualité ils agissent lorsqu’ils traitent avec des clients ou des prospects (et non plus seulement au début de la relation, cf. article 9 du projet de loi). Un manquement à cette obligation sera donc susceptible d’avoir des répercussions sur l’intermédiaire principal.

Les sous-agents à l’égard desquels des mesures sont prises par la FSMA seront quant à eux tenus d’en informer sans délai l’intermédiaire principal (article 13 du projet de loi modifiant l’article 311, § 5 de la Loi Assurance), ce qui n’ôte cependant rien à la responsabilité civile portée par ledit intermédiaire.

Il faut s’attendre à ce que la FSMA attache, en vertu des nouveaux pouvoirs que lui confère par ailleurs le projet, une attention particulière au contrôle des sous-agents par les intermédiaires – et par conséquent de l’établissement et de la mise en œuvre d’un système de contrôle interne, solide et adapté à leur structure – lors de ses prochaines inspections.
